WHAT IS AN AGM BOARD PACK?

The acronym AGM stands for Annual General Meeting. The AGM Board Pack is a compilation of the forms, documents and instructions needed in order for the directors to preside over an annual meeting of shareholders. The AGM board pack provides guidance to the directors which allows them to effectively ratify or approve the annual financial statement of the organisation

WHEN DO YOU NEED AN AGM BOARD PACK?

The AGM Board Pack is needed for the first annual meeting of the shareholders and each subsequent one thereafter. Although the meetings are denoted as annual it should be noted that the first AGM often takes place with eighteen months after the creation/incorporation of the organisation. Once the initial AGM is held the remaining AGM’s are held annually.

Companies need an AGM Board Pack because the pack includes documents and instructions prepared by attorneys which helps to facilitate the meeting and ensures that all actions taken at the meeting are in accordance with the laws of the applicable country and or state.

WHAT IS INCLUDED IN AN AGM BOARD PACK?

The AGM Board pack includes the following:

• Proxy forms for those shareholders that will not attend the meeting but wish to have their votes acknowledged and counted. Their votes can be assigned to an agent who will vote their shares if they desire.

• The notice forms of the AGM are included. These are documents sent to shareholders to inform them of the date of the upcoming AGM. The notices can also contain pertinent information regarding the meeting.

• Include in the pack are draft minutes of the Board that is convening the meeting, Draft AGM minutes, and draft decisions of the shareholders.
