A Share Certificate is a document issued by a company that certifies that a shareholder is the owner of the listed number of shares in the company on the date that is listed on the certificate. A share certificate is also called a stock certificate.
A share certificate is needed to show the ownership of the number, class, and value of the shares at the time the certificate was issued. A Share Certificate must be issued within two months of a transfer or issue of any shares. Unless the shareholder requests otherwise one certificate can be issued for all the shares that were transferred or issued at the same time. A Share Certificate is needed and must be surrendered if a shareholder needs to replace it because it has been damaged.
